Terms & Conditions
Master Service Agreement & Operational Terms
Welcome to SmithVendX. Please read these Terms and Conditions carefully before initiating a site assessment, authorizing hardware deployment, or interfacing with our telemetry-driven automated retail systems.
1. Acceptance of Terms & Local Accountability These Terms and Conditions constitute a legally binding service agreement between your organization ("Facility Partner") and SmithVendX. Founded in 2026 by active-duty military service member Zachary Smith and headquartered in Roseville, CA, we deliver high-tech refreshment architecture across the Greater Sacramento area. By authorizing the installation of our smart vending infrastructure or utilizing our web-based scheduling platforms, you agree to be bound by the operational stipulations outlined in this document.
2. Hardware Deployment & Asset Sovereignty SmithVendX provides the physical delivery, inventory stocking, and proactive maintenance of advanced AI-driven vending systems entirely free of charge to qualified facilities.
Deployment Qualification: Machine placement eligibility is contingent upon our proprietary site assessment, which analyzes minimum daily foot traffic thresholds, spatial dimensions, and localized security parameters.
Absolute Asset Ownership: All deployed structural hardware, cloud telemetry nodes, internal components, and perishable inventory—specifically including HAHA, Genius vend, and vendera units—remain the 100% exclusive property of SmithVendX. Facility Partners are granted zero equity, administrative rights, or operational control over the physical assets.
3. Facility Infrastructure Obligations To guarantee the military-grade reliability and zero-downtime performance associated with the SmithVendX brand, the Facility Partner agrees to supply the following infrastructural baseline
Dedicated Power & Utilities: The facility must provide a clean, climate-controlled space alongside continuous, uninterrupted access to a dedicated 115V AC electrical outlet at the facility’s sole expense.
Technician Access: Capital assets must be positioned in ADA-compliant, highly visible zones. The facility must grant our field operations team continuous or pre-approved access for telemetry-driven restocking, mechanical audits, and sanitation procedures.
Incident Reporting: Property management is required to notify SmithVendX immediately via phone or email if any unit is subjected to structural damage, vandalism, or localized power surges.
